Because Jabaluka was the trustee of the Morgan Unit Trust, had incurred liabilities in that capacity, was entitled to indemnification from trust assets, and had been disqualified as trustee upon the liquidator's appointment so that it was a bare trustee without power to realise the trust assets, it was just and convenient to appoint the Liquidator without security as receiver and manager over the trust assets and undertaking. Confidentiality orders were also necessary to prevent prejudice to the proper administration of justice and facilitate the due and beneficial administration of Jabaluka.
