The plaintiff failed to discharge its burden of proving that the payment to the defendant on 12 April 2010 was a misapplication of company funds or a loan. The payment was authorised as a drawdown from Mr Gould Senior's loan account with the plaintiff and effected freely and voluntarily as a gift by Mr and Mrs Gould Senior to the defendant. The defendant had not induced this gift by undue influence, and neither the plaintiff nor Mr Gould Senior retained any beneficial interest in the moneys paid. Consequently, the plaintiff's claim against the defendant fails, and the defendant is entitled to retain the sum received.
