The sale of the three individual franchise agreements after termination did not amount to a 'sale of the Master Franchise' under clause 6.5(c) of the Master Franchise Agreement and thus did not entitle Quindar to 80% of their proceeds. Furthermore, the Local Court did have the power to allow a set-off of the Victorian judgment debt pursuant to s 21 of the Civil Procedure Act 2005 (NSW). The matter should be remitted to the Local Court for further determination as to the fair market price of the Master Franchise.

The sale of the three individual franchise agreements after termination did not amount to a 'sale of the Master Franchise' under clause 6.5(c) of the Master Franchise Agreement and thus did not entitle Quindar to 80% of their proceeds. Furthermore, the Local Court did have the power to allow a set-off of the Victorian judgment debt pursuant to s 21 of the Civil Procedure Act 2005 (NSW). The matter should be remitted to the Local Court for further determination as to the fair market price of the Master Franchise.
