The liquidator had power under s 477(2) of the Corporations Act 2001 (Cth) to sell, dispose of or otherwise deal with the Trust Assets in the winding up. Although the Trust Deed disqualified SW Kitchens from continuing as trustee upon liquidation, s 477(2)(c) contains no limitation excluding assets held on trust, and the private trust deed did not limit the liquidator's statutory power of sale where SW Kitchens retained legal ownership of the Trust Assets as bare trustee and a beneficial interest by way of equitable lien.
