Mr Yu was both an employee and agent of JAG and knew, before JAG made its capital investment, that Long Yu Wine had been established to buy wine from JAG (Shanghai) and sell it at a profit, and that Congyun would benefit from the establishment of JAG (Shanghai). Given that relationship, there was a reasonable expectation that he would disclose those matters.
