Chiodo Corporation accepted La Trobe Financial Pty Ltd's offer subject to removal of the presales condition because it relied on misleading or deceptive representations made by Mr Lecordier of Infin8. Infin8 was Refresh's agent on the facts, so Infin8's conduct was conduct for which Refresh was bound. Refresh therefore did not become entitled to its facilitation fee, and Infin8 was not liable to indemnify Chiodo Corporation for a fee Chiodo Corporation was not liable to pay.
