The Court found that the affairs of CEH had been conducted in a sustained and deliberate way contrary to the interests of members as a whole and oppressive, unfairly prejudicial and unfairly discriminatory against the minority. However, on the evidence and valuation approaches (including assuming that the oppressive conduct had not occurred), the minority did not suffer loss, as they received, via the share sale, more than the value of their shares assessed as if no oppression occurred. Accordingly, entitlement to relief was not established notwithstanding the finding of oppression.
