The changes to DCA's ASIC records as to directors/shareholders were not validly effected as there were no proper instruments of transfer nor compliant resolutions; rectification of ASIC records was warranted. DA, but not the other Plaintiffs, engaged in misleading/deceptive conduct and deceit against the Cross-Claimants regarding the price of RLWC rights and the AHA deal, inducing them to pay $2.2m; DA is liable for compensatory and exemplary damages. No false imprisonment was found at the 3 July 2021 meeting. Claims against the other individuals failed as they did not knowingly participate or were not causative.
