On an objective analysis of the negotiations, the written terms, and the parties' subsequent conduct, the Sale Agreement was a concluded contract, but it was a term that the new lease be granted on the terms sought by Yoo. Kang failed to satisfy the new lease condition and also failed to show compliance within a reasonable time with the conditions requiring change of use to a restaurant and lawful approval for outside seating. Because the conditions were not satisfied, Yoo was entitled to terminate the Sale Agreement and recover the $50,000, and Kang's Cross-Claim failed.
