Re Zafiropoulos, Theodore; Ex Parte BHP Steel (JLA) Pty Ltd [1997] FCA 786
The Court held that there were no substantial reasons to question the validity of Beach J's judgment and, in any event, that BHP's contracts were with Theodore Zafiropoulos. Although the goods were delivered to and paid for by T Z Metals for its business, the customer account remained in Theodore Zafiropoulos' name, he knew this, BHP refused to transfer the account, and officers of T Z Metals had implied actual authority to place orders on his account. Behind the judgment there was a debt owed by Theodore Zafiropoulos to BHP, and the requirements of s52(1) of the Bankruptcy Act 1966 were proved.
