Mr Guy had a general retainer to act for the Company on the sale and owed duties of reasonable care and skill and a fiduciary duty. He breached those duties by failing to advise independent legal advice when acting for both sides, failing to ensure the Company was fully apprised of the Contract, failing to ascertain and advise how the mortgage would be discharged, and failing to advise adequately about the highly unusual Loan Agreement and settlement arrangement under which title was transferred without payment of the balance of the purchase price or security.
