The Court held that, notwithstanding uncertainty as to whether the wife had valid authority to pass director resolutions appointing administrators pursuant to orders of the FCFCOA (Division 2), and thus the possible invalidity of the appointment, it is appropriate under s 447A of the Corporations Act for Part 5.3A to operate as if the appointment was valid. This is justified by the objects of Part 5.3A (s 435A), preserving potential returns to creditors and businesses' value, and in line with Re Kahlefeldt Securities.
