Clause 13 of the 1996 Guarantee did not create an equitable interest for Sydney Markets in the Goulburn property, because the Pisciuneri brothers only held the legal estate as trustees for the Superannuation Fund and not beneficially, and the superannuation law prohibited such a charge. Further, Natale Pisciuneri’s representations did not crystallise into a binding equitable mortgage. Therefore, Sydney Markets did not acquire an equitable interest under the guarantee or otherwise, and ACN 123 is entitled to vesting of the property as trustee.
