The first plaintiff's Delaware charter had become void under section 510 for non-payment of franchise taxes, making all powers conferred by law upon it inoperative. Section 278 did not apply to a corporation in that position because the statutory scheme, including section 277 and section 312, made the section 510 void status and dissolution under section 278 mutually exclusive in the circumstances.
