The Court held that the defendants engaged in unconscionable conduct contrary to ss 12CA and 12CB of the ASIC Act by procuring borrowers to enter into loan contracts and sign business loan declarations without proper understanding of the consequences and in circumstances where the defendants knew or ought to have known the true purposes of the loans were personal, thus depriving borrowers of statutory protections. It further held that misleading and deceptive conduct occurred where loan offer documents misrepresented the existence of actual lender approvals and misrepresented loan purposes to lenders.
