The Court found that BBB and Aldi negotiated in good faith but on the express basis that neither would be bound until formal execution and exchange of a lease agreement; Aldi never made representations that board approval was a mere formality or had already been granted; both parties acted as if they retained the right to withdraw—including BBB negotiating with other tenants; BBB's expenditure was made with knowledge of the risk and its expectation for its own commercial benefit; there was no misleading or deceptive conduct, no unconscionability, nor estoppel; and BBB's claim for restitution failed as Aldi had not accepted benefits in circumstances making payment unconscientious.
