The indemnity clause, when read together with the Agreement's definitions and in light of factual findings, was wide enough to cover Cashel's claim for the insurance retention amount. The deeds of release did not operate between Cashel and Mr Mason and did not extinguish Mr Mason's liability under the indemnity. No estoppel arose as Cashel's positions were not inconsistent nor was there detrimental reliance; Mr Mason was on notice of Cashel's intentions before entering the deeds. The Magistrate's reasons were sufficient, and set-off was not available to Mr Mason for amounts withheld from Bam Bam, as he had no entitlement to those commissions.
