Procedural Posture

Equity Division Corporations List; Strike Out Applications / Amended Interlocutory Processes Seeking Orders Under Uniform Civil Procedure Rules 2005 (nsw) Rr 13.4 and 14.28 That Bvl's Claims Against BVM and IFM Be Dismissed or Struck Out

  1. 1 ["Whether BVL's Statement of Claim disclosed a reasonable cause of action against BVM or should be struck out under UCPR rr 13.4 and 14.28." "Whether BVL, not being a party to the Lease between APCH and BVM, could maintain a claim on the basis that APCH held BVM's contractual promise on trust for BVL." 'Whether leave to replead should be granted to BVL despite the deficiencies in the Statement of Claim.' "Whether the proceedings against IFM should be dismissed where BVL did not press relief against IFM and did not identify any direct impact on IFM's rights."]

Ratio Decidendi

The existing Statement of Claim did not plead the material facts necessary to support BVL's asserted trust of BVM's contractual promise and therefore should be struck out as against BVM. However, because the Court was not prepared on the strike out application to finally deprive BVL of the opportunity to plead and argue that claim, leave to file an Amended Statement of Claim was granted. IFM was not a proper party where BVL did not press relief against it and did not identify any direct impact on IFM's rights, so the proceedings against IFM were dismissed.

Court Disposition

Statement of Claim struck out. Leave granted to file Amended Statement of Claim. Proceedings dismissed as against Second Defendant. Plaintiff to pay costs of and incidental to the motions heard. Parties to bring in agreed short minutes to give effect to judgment or competing drafts and short submissions.
