By annexing advice of counsel to an affidavit filed in the proceedings, the plaintiff expressly waived privilege in the advice itself and also impliedly waived privilege in documents that were used in a way that influenced the content of the advice; privilege is deemed waived regardless of whether the advice or affidavit was ultimately relied upon in court. Fairness requires that having sought an advantage by disclosure, the plaintiff produce documents that influenced the advice.
