The $18 million loan agreement executed in February 2006 replaced all previous agreements, and the mortgages given at that time constituted valid security for the amounts advanced (being the $500,000 already lent plus interest, excluding default interest found to be a penalty). The guarantees provided for earlier agreements do not continue to bind the guarantors for the $18 million agreement. The Mortgages should be construed to include the annexure, or rectified to that effect. Plaintiff entitled to judgment and appointment of trustees for sale of mortgaged properties.
