Since the process agreement was fully executed and the consideration paid, rescission cannot be granted on the basis of innocent misrepresentation; the remedy is not available where the contract has been executed unless misrepresentation was fraudulent. Additionally, the two agreements were mutually dependent; the respondent, by adhering to the flats contract, cannot repudiate the process contract.
