The plaintiffs failed because the evidence established that Exhibit 1 recorded the true contractual arrangement, there was no CBFC obligation to ensure delivery or pay further sums to CMV, and the plaintiffs' inability to obtain possession was caused by their own arrangements with CMV and failure to pay the money CMV required.
