James v Andrews [2001] NSWSC 1149
A person who is a director of a New South Wales-incorporated company is liable under Corporations Law s 588G and s 588M for failing to prevent insolvent trading, irrespective of that director’s physical presence outside the State, since the statutory obligation attaches to their office and acts or omissions with sufficient connection to NSW, giving the court jurisdiction and validating the legislative power.
