Mr Gooden, as managing director, breached his fiduciary and statutory duties to GFIN by causing payments to be made to Beagle Financial Pty Limited totalling $343,715.73 without any consideration and by causing an overpayment of his own salary in the amount of $29,390. These constituted misappropriations of company funds. Beagle Financial Pty Limited, controlled solely by Mr Gooden, was held liable as knowing recipient and participant in this breach through accessorial liability.
