Procedural Posture

Application by Second Interested Party for Leave to Represent Corporate Third Interested Party and Joinder Application in Corporations Proceeding / Interlocutory Application

  1. 1 ['Whether the second interested party, a non-lawyer and sole director and shareholder of the third interested party, should be granted leave to represent the corporate third interested party.' 'Whether JT Nominees Pty Ltd and JT Investments Pty Ltd should be joined as fourth and fifth interested parties.']

Ratio Decidendi

Leave for Mr Lutfi to represent Lutfi-Proctor Holdings Pty Ltd was refused because a corporation ordinarily must be represented by a solicitor, there was no affidavit evidence of the company's inability to pay for representation or of other relevant financial matters, the proceeding involved complex questions of law, and Mr Lutfi was both a witness and a person with a personal interest in the outcome such that he would not be able to conduct the proceedings effectively. JT Nominees Pty Ltd and JT Investments Pty Ltd were joined because Mr Lutfi accepted a link to the plaintiff and there was no reason they should not be joined.

Court Disposition

The second interested party's application for leave to represent the third interested party was dismissed, and JT Nominees Pty Ltd and JT Investments Pty Ltd were joined as fourth and fifth interested parties.

Orders
