Hanover Investments P/L v. Thallon Designs P/L [2003] NSWSC 1193
The plaintiff had no standing because the purported appointments of new trustees were not made under a power contained in cl.23 of the trust deed and did not comply with Trustee Act 1958 of Victoria s.41. In any event, the alleged declaration of trust dated 4 February 1992 was not an authentic document of Thallon Designs Pty Ltd, no decision was made by its directors to declare such a trust, the seal was not authorised, and the proceeds of the option and Benwood units were not shown to be impressed with any trust for the T & C Investment Trust. The plaintiff therefore failed to establish any equity or entitlement to charges over the Belgrave Street property.
