The defendant had consented to the adducing of material that was otherwise privileged, engaging s 122(1) and triggering s 126. Since the Council's state of mind when passing the August resolution was in issue, the unedited Exhibit B, unedited Exhibit A, and the advice annexed to Exhibit A were reasonably necessary for a proper understanding of the disclosed discussion and it would be unfair to withhold them.
