Because Mr Lee did not agree or consent to the side letter, the borrower's varied obligations to the lender under the loan agreement as amended were not within the scope of the guarantee given by Mr Lee in cl 10.2(a)(i). The lender's later decision not to press pre-drawdown interest could not avoid the legal effect of that alteration.
