The plaintiffs failed because the Gladstone Rd Unit Trust was never constituted: neither El-Cheikh Group Pty Ltd nor Iconic Constructions Australia Pty Ltd paid the subscription amounts that were intended to be the initial trust property, so neither became a unitholder and the Property was not held by Sepideh Miraki as trustee of that trust. Although Omar El-Cheikh proved that he advanced $450,000 in cash, of which $430,000 was applied to settlement of the Property purchase, he did not prove on the balance of probabilities that the advance was made to Sepideh Miraki pursuant to the Loan Agreement; a separate oral agreement with Navid Ardestani-Miraki remained a credible alternative...
