Robert Murdoch, as director, breached his statutory and fiduciary duties to Mudgee Dolomite & Lime Pty Limited by diverting to himself, Stephen Murdoch, and their related companies (RKM and BPPL) the opportunity and profits from work at the Cadia mine—work that was within MDL’s business—without fully informed consent or proper disclosure. The Court found that Robert, aided by Stephen, could not rely on any supposed limitation of duty, consent, or estoppel, as no full disclosure had been made. As against them, the plaintiff is entitled to elect between an account of profits (with no allowance for skill or effort other than actual costs) and compensation under s 1317H of the Corporations...
