Procedural Posture

Civil / Final Judgment

  1. 1 ['Whether an issue estoppel arises from previous litigation regarding the terms, validity, and enforceability of an oral contract between Powercell and Cuzeno;' 'Whether section 54A Conveyancing Act 1919 prevents recovery of damages for breach of contract not evidenced in writing;' 'Whether the subject contract is void for uncertainty, lack of necessary parties, or due to statutory formalities not being met;' 'Whether Powercell is entitled to indemnity and recovery of damages from Cuzeno for losses suffered in purchaser claims.']

Ratio Decidendi

The contract between Powercell and Cuzeno, as found, was one for the disposition of an interest in land within s54A Conveyancing Act 1919 and was not in writing nor evidenced in writing. The doctrine of part performance does not entitle Powercell to damages at law for breach of such a contract. Issue estoppel arising from prior litigation does not operate to preclude the s54A bar. Therefore, Powercell's claim fails as the contract is unenforceable under the statutory requirements.

Court Disposition
