The evidence showed conclusively that the relationship between the two directors had broken down to the point that whatever business was conducted by Noved Pty Ltd could no longer be conducted by it, and Mr Ednie accepted that the company could no longer operate and would have to be wound up; accordingly, a provisional liquidator should be appointed.
