Darke J did not accept Mr Benepal's evidence that a conversation with Mr Bhushan produced the alleged agreement, preferred important aspects of Mr Goyal's evidence supported by notes, and found the contemporaneous documents and later conduct inconsistent with the alleged lease terms, including the asserted rent and inclusion of the upstairs area. Because no agreement was proved, the pleaded estoppel also failed and it was unnecessary to decide part performance.
