The partnership between Walker and Melham was dissolved on 31 May 1994 by abandonment of the agreed working basis. The land and buildings known as River Gum Lodge are not partnership assets. Walker is entitled to a 50% share in the net partnership assets as at dissolution and simple interest pursuant to s 42(1) of the Partnership Act 1892 (NSW), but is barred by laches from accounting for post-dissolution profits attributable to use of his share of partnership assets.
