By majority, the Court of Appeal found that, though Sanpine Pty Ltd breached several terms of the joint venture agreement, those breaches did not amount to repudiation because, in all the circumstances, Sanpine did not show an intention only to perform in a manner substantially inconsistent with the contract, especially given Koompahtoo's acquiescence and the course of dealings. The breaches also did not amount to breaches of essential terms or sufficiently serious breaches of intermediate terms so as to justify termination.
