Ratio Decidendi

Special Condition 25 was not properly characterised as a penalty because, under its operation, only 10% of the purchase price was forfeited, which is a reasonable deposit in conveyancing transactions. The vendor validly terminated the contract after the purchaser failed to pay the second deposit instalment on time, and was entitled to forfeit the deposit. The purchaser was not entitled to damages, return of the deposit, or further relief, as s 55(2A) of the Conveyancing Act and equitable principles did not justify repayment. The court declined to exercise its discretion to order repayment of the deposit.
