The Demand was set aside because the Company established a genuine dispute as to whether the loan debt claimed by RSA was due and payable when the Demand was served. The evidence supported a plausible dispute that repayment was conditional on the Company's financial position or board approval, and, alternatively, if the loan was repayable only on reasonable notice, no such notice had been given before service of the Demand, so the debt was not due and payable at the relevant time.
