Walker v Wimborne [1976] HCA 7

The directors breached their fiduciary duty to Asiatic Electric Co. Pty. Ltd. by authorising payments to other associated companies and employees for which Asiatic received no benefit. The transactions were not bona fide in the company's interest and constituted misfeasance under s. 367B of the Companies Act, 1961 (NSW). However, the claim relating to the payment of $15,400 to A.
