Although the plaintiff's alternative construction of cl 6 was commercially preferable, the statement of claim and correspondence had proceeded on the basis that repayment arose only after transfer of the fifty per cent business interest. Allowing the plaintiff to rely on the alternative construction late in the proceedings would unfairly prejudice the defendant because the surrounding circumstances had not been explored in cross-examination or other evidence. On the pleaded basis, cl 6 had not been triggered and no liability to repay had accrued, so the plaintiff had not made out its case.
