The addendum in the sale contract granted the seller a contractual right to the strata settlement funds and proxy; purchaser was not deprived of substantially the whole benefit of the contract (no fundamental breach) and therefore could not withhold funds. The seller did not fraudulently misrepresent because she honestly believed her disclosure; negligent misrepresentation failed because the purchaser received minutes that would have alerted a prudent buyer and he unreasonably failed to make further inquiries or obtain inspection. Seller complied with disclosure obligations; therefore funds must be released.
