Procedural Posture

Civil Contract and Tort (misrepresentation) Involving Strata/real Estate Dispute / Applications and Counterclaim Tried Together; Reasons for Judgment Delivered (trial Concluded)

  1. 1 Whether seller entitled to release of settlement funds under sale addendum
  2. 2 Whether seller committed fundamental breach excusing contractual obligations
  3. 3 Whether seller made fraudulent misrepresentation about plumbing, roof, rainscreening or warranty

Ratio Decidendi

The addendum in the sale contract granted the seller a contractual right to the strata settlement funds and proxy; purchaser was not deprived of substantially the whole benefit of the contract (no fundamental breach) and therefore could not withhold funds. The seller did not fraudulently misrepresent because she honestly believed her disclosure; negligent misrepresentation failed because the purchaser received minutes that would have alerted a prudent buyer and he unreasonably failed to make further inquiries or obtain inspection. Seller complied with disclosure obligations; therefore funds must be released.

Court Disposition

Application by Helga Hamilton granted; funds held in trust released to Hamilton; allegations of fraudulent and negligent misrepresentation by Hamilton dismissed; purchaser's counterclaim and claim for damages dismissed; no set-off allowed.
