Procedural Posture

Civil Appeal (administrative Law/access to Information) / Appeal to Court of Appeal From Divisional Court Decision (judicial Review of IPC Adjudicator)

  1. 1 Whether TEDCO is an 'institution' under MFIPPA s.2(3)
  2. 2 Whether the term 'officers' in s.2(3) includes corporate directors
  3. 3 Whether TEDCO's officers are 'appointed or chosen by or under the authority of' City Council

Ratio Decidendi

Because City Council appoints all directors and the City is TEDCO’s sole shareholder with powers to remove directors and impose shareholder agreements that control director powers, officers appointed by those directors are appointed 'by or under the authority of' City Council within s.2(3); accordingly TEDCO is deemed part of the municipality and subject to MFIPPA, and the adjudicator’s order granting access is restored.

Court Disposition

Appeal allowed; Divisional Court decision set aside; adjudicator's order restored.

Orders

  • Divisional Court order quashing adjudicator's decision set aside and adjudicator's order restored
  • Showline to be paid costs for motion for leave to appeal by TEDCO fixed at $5,000 (inclusive of disbursements and GST)
