The parties were partners (by at least 2010); the Claimants’ purported September 28, 2016 expulsion was ineffective because s.28 of the Partnership Act forbids expulsion absent express agreement, and their action operated instead to dissolve the partnership leaving the trade name 'Pirates of Halifax' as partnership property; neither side therefore held an exclusive right to the name and the passing off claims fail; the Defendant’s claims for remuneration fail because partners are not entitled to remuneration for acting in the partnership business absent agreement (s.27(f)).
