The court found on the balance of evidence that 100 common shares were issued to each founder as of November 28, 1995 based on consistent and repeated corporate acts (accounting ledger entries showing consideration, financial statements and annual tax returns filed and approved by directors, and a correcting resolution which remedied inconsistent minute book entries); those facts rebutted the OBCA s.139(3) presumption in favour of the initial minute book entries and established that the shares were held for more than 24 months, so s.110.6(14)(f) did not apply and the small business capital gains exemption was available.
