The Court of Appeal allowed the appeal because the contested minutes provision is reasonably susceptible to competing interpretations, the appellant acted reasonably in withholding and remitting taxes based on professional tax advice, and any amounts remitted to CRA stand to the respondent's credit under s.153(3) of the Income Tax Act so no material loss resulted; accordingly the summary judgment enforcing the minutes was set aside, the appellant's application declared moot and the penalty provision was not triggered.
