Jeffrie was effectively and totally shut out of Three Ports and had agreed to sell his shares in mid-September 2010 such that he must be regarded as having resigned or been effectively removed; therefore he did not owe an ongoing fiduciary duty after September 2010. Even if a duty had existed, equitable relief would be inappropriate on these facts and Three Ports failed to prove causation or quantum of alleged business losses; however Three Ports proved two unjustified payments/credits totalling $37,500 for which Jeffrie alone is liable, with prejudgment interest.
