Procedural Posture

Application to Discharge Certificates of Pending Litigation in Proceedings Under the Fraudulent Conveyance Act Arising From Enforcement of Judgment / Interlocutory Application to Discharge Cpls and Release Proceeds; Hearing October 28 29, 2025; Reasons January 28, 2026

  1. 1 Whether s.215(1)(b) of the Land Title Act requires a claim to an estate or interest in land to support a CPL
  2. 2 Whether a Fraudulent Conveyance Act claim involving transfers effected through closely‑held corporations is an action "in respect of land" under s.215(1)(b)
  3. 3 Whether the NOCC pleaded sufficient material facts to support a CPL (particularity requirement)

Ratio Decidendi

The CPLs registered against the Park Station strata units were properly registered under s.215(1)(b) because a Fraudulent Conveyance Act claim challenging share transactions effectuated through closely‑held corporate vehicles that were designed to divest corporate holdings of land is an action "in respect of land"; however, the NOCC's bare assertion of a direct beneficial interest by Liang in Park Station was insufficient in itself to support a CPL; the CPL relating to the West 53rd home was barely supported by the pleadings; applicants failed to show sufficient hardship or inconvenience under ss.256-257; the applications to discharge CPLs and to release proceeds are dismissed.

Court Disposition

Applications to discharge CPLs and to release proceeds dismissed; costs in the cause.

Orders
