The oral agreement for the purchase of the Properties was concluded between Mr Patel and Mr Mann personally, not with either Falcon Investment Ltd or Falcon Development (UK) Ltd, as the relevant company (D3) was not incorporated at the time of the agreement and there was no evidence of novation. The terms of the agreement were that Mr Patel and Mr Mann would each contribute £500,000 towards the purchase, the Properties would be held on trust for them as tenants in common in equal shares, and Mr Patel is entitled to be appointed trustee and to a declaration of trust.
