The ETS was a legally binding agreement obliging GI to implement a Holdco structure and issue equity to the Claimants as specified, subject only to completion of the acquisition. GI's failure to do so and subsequent repudiation constituted a repudiatory breach, entitling the Claimants to damages. The Defendants' counterclaims for fraudulent misrepresentation and breach of duty were not made out on the evidence. The Claimants were entitled to employment-related payments as claimed, subject to quantification.
