Mr McGrath, as Head of Risk and a senior employee, owed ODL contractual and fiduciary duties not to make unauthorised loans, not to act in conflict, and to act in good faith. He knowingly made unauthorised, unsecured loans to A1 Holdings without board approval, concealed these from the directors, and acted dishonestly in diverting company funds for personal use. The directors did not know of or ratify the loans. Mr McGrath's actions constituted serious breaches of duty, causing loss to ODL, for which he is liable in damages and/or equitable compensation.
