The articles did not exempt him from liability absent such disclosure. The claim was not time-barred under the Limitation Act 1980 due to the fraudulent breach of fiduciary duty. The account of profits was limited to moneys traceable to payments made by GVDC to Lasco. No equitable compensation was awarded as no loss was proved.
